StagePlot Guru Terms of Service and End User License Agreement

This Terms of Service and End User License Agreement (the “Agreement”) is a legal agreement between you (“you”) and Active Media Production Group (AMPG) (“we,” “us,” “AMPG”) governing your use of the StagePlot Guru iOS application and related services (the “App” or “Service”).

By downloading, installing, accessing, or using the App, you agree to this Agreement.

1) Relationship to Apple

This Agreement is between you and AMPG, not Apple. Apple is not responsible for the App or its content. If you do not provide a custom EULA in App Store Connect, Apple’s standard EULA applies instead. Apple Developer+1

2) License grant and scope

AMPG grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on Apple-branded products that you own or control, as permitted by the App Store usage rules. Apple

You may not:

  • rent, lease, lend, sell, redistribute, or sublicense the App

  • copy the App except as permitted by the App Store usage rules

  • reverse engineer, decompile, disassemble, attempt to derive source code, modify, or create derivative works of the App, except to the extent a restriction is prohibited by applicable law or permitted by open source licenses included with the App

3) Account registration and security

The App may require an account. You agree to provide accurate account information and keep it updated. You are responsible for activity on your account and for maintaining the confidentiality of your credentials.

You must not use another person’s account or attempt to access the App through unauthorized means.

4) Your content (plots and cover images)

You retain ownership of the content you create in the App, including stage plots and cover images you upload (“User Content”).

You grant AMPG a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, and transmit your User Content only as needed to operate, provide, maintain, and improve the Service, including displaying cover images within your account and syncing your plots across your devices.

You represent that you have all rights needed to upload and use your User Content and that your User Content does not infringe the rights of others.

5) Acceptable use

You agree not to:

  • use the App for unlawful, harmful, abusive, harassing, defamatory, or fraudulent purposes

  • upload content that violates another person’s rights (including IP, privacy, or publicity rights)

  • interfere with or disrupt the App, servers, or networks

  • attempt to bypass security or access non-public areas

  • violate copyright or IP of AMPG DBA StagePlotGuru including but not limited to assets related to functionality and/or processes 

6) Analytics, crash reporting, and privacy

We use services to understand usage, improve features, and diagnose crashes. These tools may collect device, app, usage, and diagnostic information and identifiers associated with an app installation.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference into this Agreement.

7) Purchases and subscriptions

If the App offers in-app purchases or subscriptions, those purchases are processed by Apple. Pricing, billing, cancellations, and refunds are governed by Apple’s media services terms and App Store policies. AMPG does not process your payment card data for App Store purchases.

8) Third-party services

The App may display, link to, or integrate with third-party services (for example, sign-in providers). Third-party services are provided by their owners, and your use of them may be governed by separate terms and privacy policies. AMPG is not responsible for third-party services.

9) Termination

This Agreement is effective until terminated.

You may stop using the App at any time.

AMPG may suspend or terminate your access if you materially breach this Agreement, if your use creates risk or legal exposure for AMPG or others, or if we are required to do so by law.

Upon termination, your license to use the App ends and you must stop using it. Sections that by their nature should survive termination will survive (including license restrictions, disclaimers, limitation of liability, and governing law).

10) Maintenance and support

AMPG is responsible for providing any maintenance and support for the App, as required by applicable law. Apple has no obligation to provide maintenance or support services for the App. Apple

11) Warranty disclaimer

To the maximum extent permitted by applicable law, the App is provided “as is” and “as available,” and AMPG disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.

12) Apple refund for failure to conform to warranty

If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple has no other warranty obligation for the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to any warranty are AMPG’s responsibility. 13) Product claims

You acknowledge that AMPG, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including:

  • product liability claims

  • claims that the App fails to meet legal or regulatory requirements

  • claims arising under consumer protection, privacy, or similar laws

14) Intellectual property infringement claims

You acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, AMPG, not Apple, will be responsible for investigation, defense, settlement, and discharge of the claim, as required by this Agreement and applicable law. 15) Limitation of liability

To the maximum extent permitted by applicable law:

  • AMPG will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, loss of data, or business interruption arising out of or related to your use of or inability to use the App.

  • AMPG’s total liability for all claims relating to the App will not exceed the greater of (a) $50.00 or (b) the amount you paid for the App (if any) in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

16) Export compliance

You may not use, export, or re-export the App except as authorized by United States law and the laws of the jurisdiction where the App was obtained. You represent that you are not located in a U.S. embargoed country and are not on any U.S. restricted party list.

17) Government end users

The App and related documentation are “Commercial Items” as defined under applicable U.S. regulations and are licensed to U.S. Government end users only with the rights granted to all other end users under this Agreement.

18) Governing law and consumer rights

This Agreement is governed by the laws of the State of California, excluding conflict of law rules.

If you are a consumer in a country that provides mandatory consumer protections, those protections apply and nothing in this Agreement limits rights that cannot be limited under applicable law.

19) Third-party beneficiary

You and AMPG acknowledge that Apple and Apple’s subsidiaries are third-party beneficiaries of this Agreement, and that upon your acceptance of this Agreement, Apple will have the right to enforce this Agreement against you as a third-party beneficiary. Apple+1

Enforcement; Civil and Criminal Liability; International Reach

You acknowledge and agree that any violation of this Agreement may subject you to civil liability and, where applicable, criminal liability under the laws of the United States and/or other jurisdictions. You further acknowledge that conduct occurring in connection with the App may be investigated and prosecuted in the jurisdiction where the conduct occurs, where its effects are felt, where you are located, and/or where AMPG is located or where relevant systems are hosted, as permitted by applicable law.

AMPG may, in its discretion, suspend or terminate your access to the App, remove or disable access to content, and pursue any remedies available at law or in equity. AMPG may also report suspected unlawful activity to law enforcement, regulators, or other third parties, and may cooperate with investigations, including by providing information in response to lawful requests.
